Terms of Use
Effective date: September 22, 2026
These Terms of Use (“Terms”) govern your access to and use of the FloFile Captions desktop application, related documentation, and the website at flofilecaptions.com (collectively, the “Services”). The Services are operated by 1001746423 Ontario Inc. (“we”, “us”, or “our”), an Ontario corporation based in Toronto, Ontario, Canada.
By downloading, installing, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Eligibility
You must be able to form a binding contract under applicable law to use the Services. The Services are intended for professional and adult users in photography and related workflows.
License
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use FloFile Captions on devices you own or control, solely for your lawful photography and captioning work. We reserve all rights not expressly granted.
You may not:
- Copy, modify, distribute, sell, or lease any part of the Services except as allowed by law or a separate written agreement with us
- Reverse engineer or attempt to extract source code except where such restriction is prohibited by law
- Circumvent security, licensing, or access controls
- Use the Services to infringe others’ rights or violate applicable law
Accounts and sign-in
Some features may require an account, including sign-in with Google through Firebase Authentication. You are responsible for activity under your account and for keeping access to your devices and accounts secure. You must provide accurate information and promptly update it when it changes.
Your content and metadata
You retain ownership of your photographs, captions, and IPTC metadata. You are solely responsible for the content you create and for complying with employer, league, client, wire-service, and copyright requirements. The Services process photos and metadata locally on your computer as described in our Privacy Policy.
Acceptable use
You agree not to misuse the Services, including by:
- Attempting unauthorized access to systems or other users’ data
- Interfering with the operation or security of the Services
- Using automated means to abuse authentication or support channels
- Misrepresenting your affiliation with 1001746423 Ontario Inc. or FloFile Captions
Intellectual property
FloFile Captions, the flofilecaptions.com website, and related branding are owned by 1001746423 Ontario Inc. or its licensors. These Terms do not transfer any ownership of our intellectual property to you.
Third-party services
The Services may rely on third-party services (including Google and Firebase). Your use of those services may be subject to their terms and privacy policies. We are not responsible for third-party services we do not control.
Disclaimer of warranties
To the fullest extent permitted by applicable law, the Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that captions or metadata will meet every outlet’s style or filing requirements.
Limitation of liability
To the fullest extent permitted by applicable law, 1001746423 Ontario Inc. and its directors, officers, and suppliers will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Services, even if advised of the possibility of such damages. Our aggregate liability for claims relating to the Services will not exceed the greater of (a) the amounts you paid us for the Services in the twelve months before the claim or (b) CAD $50, if you have not paid us.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted by law.
Indemnity
You agree to defend and indemnify 1001746423 Ontario Inc. against claims arising from your use of the Services, your captions or metadata, or your violation of these Terms or third-party rights, to the extent permitted by law.
Termination
You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms or if we discontinue the Services. Provisions that by their nature should survive (including ownership, disclaimers, limitations, and indemnity) will survive termination.
Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Courts located in Toronto, Ontario, Canada will have exclusive jurisdiction, except where applicable law requires otherwise.
Changes
We may update these Terms by posting a revised version on this page with an updated effective date. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
